These terms are an agreement between you and OmniNexus Sdn Bhd (Company No. 202401012303 / 1558153-T), a company registered in Malaysia ("OmniNexus", "we", "us"). They cover Marvis AI, the website at omninexus.io and everything we provide through them (together, "Marvis" or the "Service").
By creating an account, starting a trial or using Marvis, you agree to these terms. If you use Marvis for a company, you agree for that company and confirm you may bind it, and "you" means the company. If you do not agree, do not use Marvis.
Who can use Marvis
Marvis is a tool for businesses and professionals, such as real estate agents, agencies and small business owners. To use it you must be at least 18 years old and able to enter a contract under the law where you live.
Your account
Give us true, current and complete details when you sign up, and keep them up to date. You can sign up with an email and password, or with Google, Facebook or Apple.
Keep your password safe and do not share your account. You are responsible for everything done through your account, including by team members you invite. If you think someone has used your account without permission, tell us at support@omninexus.io straight away.
Plans, trials and payment
The plans, prices and limits are on the pricing page. Prices are in US dollars and do not include taxes, which we add where the law requires.
- Billing. Paid plans are billed in advance, monthly or yearly, and renew on their own at the end of each period until you cancel.
- Free trials. A trial lasts for the period shown when you start it. If you do not cancel before it ends, your plan starts and your payment method is charged.
- Limits. Each plan has limits, such as brands, AI posts and short videos a month, social accounts and team seats. Monthly allowances reset at the start of each billing month and do not carry over.
- Late payment. If a payment fails, we will try again and let you know. If it still fails, we may pause your account until you pay.
- Price changes. We will give you at least 30 days' notice of a price change. It applies from your next renewal after the notice ends, and you can cancel before then.
Enterprise plans and the done-for-you content team are set out in a quote or order form. Where that document differs from these terms, the document wins.
Cancellations and refunds follow our Refund and Cancellation Policy.
Your content
Your content is what you put into Marvis, such as links, PDFs, photos, videos, logos, brand details and instructions, and what Marvis makes from it for you, such as posts, captions, images, videos and landing pages.
You own your content. You give us permission to host, copy, process, adapt and publish it only to run Marvis for you: to make your posts, to publish them where you tell us, to show you analytics and to keep the Service working. This permission ends when your content is deleted, except for copies we must keep by law.
You confirm that you have the rights to everything you upload. That includes photos of properties and people, logos, music and the face or voice of anyone in a Digital AI Human video, for whom you must have written consent.
We do not sell your content, and we do not use it to train AI models for other customers.
AI-generated content
Marvis uses artificial intelligence to write, design and translate. AI can get things wrong. A post may contain mistakes, out-of-date facts or claims you cannot support, and it may be similar to content made for other people.
- Check every post, price, address and claim before it goes live. The post approvals feature and the calendar are there for this.
- You are responsible for what you publish, including that it follows the law, the rules of your industry and the rules of each platform.
- We do not promise any result from your posts or ads, such as reach, leads or sales.
Connected social accounts
When you connect Facebook, Instagram, LinkedIn, X or another platform, you let us publish the posts you schedule and read the data we need for analytics. We act only on your instructions.
Each platform has its own terms, and you must follow them. Platforms can change their rules, limit what apps can do, or suspend accounts. We are not responsible for what a platform does, and we cannot always publish when a platform is down or blocks a post. You can disconnect an account at any time.
How you may use Marvis
Use Marvis only for your own business and within your plan. Follow our Acceptable Use Policy, which lists what you may not create or publish. You also may not, or let anyone else:
- copy, modify or make derivative works of Marvis or its documentation;
- rent, lease, sell, sublicense or resell access to Marvis, unless we agree in writing;
- reverse engineer, decompile or try to get the source code of any part of Marvis;
- remove any proprietary notices from Marvis or its documentation;
- use Marvis in a way that breaks the law or another person's rights, including their intellectual property;
- get around plan limits, security or access controls, or use bots or scrapers on the Service;
- publish benchmarks of Marvis against other products without our written permission;
- use Marvis to build a competing product or service.
Our intellectual property
We own Marvis: the software, the design, the templates, the OmniNexus and Marvis names and logos, and everything we make to run the Service. We and our licensors keep all rights to it. While your plan is active, we give you a personal, non-exclusive and non-transferable right to use Marvis for your business under these terms.
If you send us ideas or feedback, we may use them freely, with no duty to you.
Done-for-you services
On the Enterprise plan, our team can plan, create and publish content for you. We work from the brief and the access you give us. You remain responsible for checking the facts we work from, such as prices, listings and offers, and for approving content where your agreement says you will.
Confidentiality
Either of us may share confidential information with the other, such as business plans, unreleased features or customer data. Each of us will use the other's confidential information only for this agreement, protect it at least as carefully as our own, and not share it except with people who need it and are bound to keep it confidential.
This does not cover information that is or becomes public through no fault of the receiver, that the receiver already knew or got lawfully from someone else, or that the receiver developed on its own. If the law or a court requires a disclosure, the receiver may make it, but will tell the other side first where it is allowed to, so they can seek protection.
Privacy
Our Privacy Policy explains how we handle personal data.
Some features let you collect personal data from your own customers, such as leads from a landing page. For that data you are responsible for collecting it lawfully, including any notice and consent the law requires, and we process it only on your instructions to run Marvis for you.
Suspension
We may suspend all or part of your access, and will tell you why where we can, if:
- there is a threat or attack on Marvis, or your use puts the Service, us or other customers at risk;
- you use Marvis for fraud, for anything illegal or against the Acceptable Use Policy;
- you do not pay what is due;
- you stop doing business in the normal way, or become insolvent or subject to bankruptcy, liquidation or a similar process;
- the law stops us from providing Marvis to you; or
- a provider we rely on, such as a social platform or an AI provider, suspends or ends our access to something Marvis needs.
We will restore access once the reason is resolved. We are not liable for losses, including lost data or profits, caused by a suspension made under this section.
Cancelling and ending the agreement
You can cancel at any time. Your plan stays active until the end of the period you have paid for and then ends. The Refund and Cancellation Policy has the details.
We may end this agreement if you seriously break these terms and do not fix the problem within 14 days of our notice, or straight away if the breach cannot be fixed or the law requires it. We may also stop offering Marvis altogether with at least 30 days' notice, and refund any amount you paid for the time after it stops.
When the agreement ends, your right to use Marvis ends. You have 30 days to export your content, after which we delete it as described in the Privacy Policy. Posts already published to your social accounts stay there until you remove them. The sections on content, confidentiality, liability, indemnity and disputes continue after the agreement ends.
Third-party services
Marvis relies on other companies, such as cloud hosting, AI model providers, payment processors and the social platforms you connect. Their services have their own terms, and we are not responsible for them beyond what these terms say.
Disclaimer
We work to keep Marvis running well, but we provide it "as is" and "as available". As far as the law allows, we make no other promises, whether express or implied, including that Marvis will meet your needs, work without interruption or errors, be compatible with other software, or be secure, accurate or complete, and we disclaim implied warranties of merchantability, fitness for a particular purpose and non-infringement.
Limits on our liability
As far as the law allows:
- we are not liable for indirect, incidental, special, consequential or punitive losses, or for loss of profits, revenue, business opportunities, goodwill or data, even if we were told they might happen;
- our total liability for all claims under or about these terms is limited to the amount you paid us for Marvis in the 12 months before the event that led to the claim.
These limits are an essential part of the agreement and are reflected in our prices. Nothing in these terms limits liability that cannot be limited by law, such as for fraud.
Indemnity
You will defend us, and cover our officers, directors, staff, contractors and agents for losses, costs and reasonable legal fees, against any third-party claim that comes from:
- your breach of these terms or the Acceptable Use Policy;
- your content, including a claim that it infringes someone's rights;
- your use of Marvis against the law, or your gross negligence or wilful misconduct; or
- your breach of the terms of a platform or another third-party service you use with Marvis.
We are not responsible for an infringement claim caused by changes someone other than us made to Marvis, by the content you put into it, or by use outside these terms. If Marvis becomes subject to an infringement claim, we may get you the right to keep using it, change it so it no longer infringes or, if neither is reasonable, end your access and refund what you paid for the time left.
Changes to Marvis and to these terms
We improve Marvis all the time, so features may change. If we remove a major feature of your paid plan, we will tell you first.
We may update these terms. For a material change we will give you at least 30 days' notice by email or in Marvis before it takes effect. If you keep using Marvis after that, the new terms apply. If you do not agree, cancel before they take effect.
Events outside our control
We are not liable for delays or failures caused by events beyond our reasonable control, such as natural disasters, floods, fires, power or internet failures, the actions of governments or platforms, or delays caused by you.
Governing law and disputes
These terms are governed by the laws of Malaysia. If there is a problem, write to us first at support@omninexus.io and we will try to resolve it with you within 30 days. If we cannot, both of us agree that the courts of Peninsular Malaysia have exclusive jurisdiction to decide it.
General
- These terms, the policies they link to and any order form are the whole agreement between us about Marvis.
- If any part of these terms cannot be enforced, it is changed as little as needed to make it enforceable, and the rest stays in force.
- If we do not enforce a right straight away, we do not give it up.
- You may not transfer this agreement without our written consent. We may transfer it to a company that takes over our business.
- We send notices to the email address on your account. Send yours to support@omninexus.io.
- If these terms are translated, the English version applies.
